Please read these Terms of Service (“Terms”) carefully before using the BaselymacOS application or website (collectively, the “Service”). By downloading, installing, or using Basely, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 13 years of age, have the legal capacity to enter into these Terms, and agree to comply with them. If you do not agree, you must not use the Service.

2. License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download and use Basely on macOS devices that you own or control, solely for your personal or internal business purposes.

You may not:

• Copy, modify, or distribute the application or its components;
• Reverse-engineer, decompile, or disassemble the application;
• Rent, lease, lend, sell, or sublicence the application to any third party;
• Use the Service in any way that violates applicable laws or regulations.

3. Your Responsibilities

You are solely responsible for:

• The databases and data you connect to and access through Basely;
• Ensuring you have the appropriate authorisation to access the databases you connect to;
• Maintaining the confidentiality of your database credentials;
• Compliance with the terms of service of any third-party database providers you use (e.g., Supabase).

4. Intellectual Property

All intellectual property rights in and to the Service, including but not limited to the software, design, logos, and trademarks, are and shall remain the exclusive property of Basely and its licensors. Nothing in these Terms grants you any right to use the Basely name, logo, or other branding.

5. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.

6. Third-Party Services

The Service may facilitate connections to third-party database providers and services. These services are not operated by us, and we make no representations or warranties regarding their availability, reliability, or accuracy. Your use of third-party services is subject to their own terms and policies.

7. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Basely and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including any loss of data, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Termination

We reserve the right to suspend or terminate your access to the Service at any time, without notice, if we believe you have violated these Terms. Upon termination, the licence granted to you under these Terms will immediately cease.

10. Changes to Terms

We may revise these Terms at any time by updating this page. The revised Terms will be effective immediately upon posting. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Basely operates, without regard to conflict of law principles.
